Table Talk

BY Mike S Apostol

After Table Talk, wrote the irresistible offer for the Zamcelco Putik lot, an anonymous caller through my cellphone, informed Table Talk to please inquire about the status of the Zamcelco Putik lot’s documents and the provision in those documents, because the caller believes that the Zamcelco Putik lot is a donation from the former Board President, the late Peter Murga. The caller is not against the offer from a Manila businessman but only wanted a clean and free from any encumbrances sale transaction for the good of Zamcelco and the City of Zamboanga. Overheard in the morning program of Councilor-to-be Jimmy Villaflores in an interview with Zamcelco Board President Hj. Omar Sahi, the potential buyer is the owner of the country’s chain of malls, Robinsons or Mr. Gokongwei also owner of many big businesses like Cebu Paciific Airlines and Robina Farms to name some. No doubt the potential buyer of Zamcelco Putik lot has the capacity to pay in cash since he is listed in Forbes Magazine as one of the World’s richest individuals.

Table Talk was once Board President of Zamcelco but this is the first time I knew that the Zamcelco Putik lot is a donation from the late landlord in the city,  Mr. Peter Murga, who was also a former board president. There is nothing wrong with the proposed sale offer and transaction, the caller only wanted to protect the buyer and the seller from the provisions of the donation documents. Normally, in a donation of real property, the donor always provides in the agreement that it cannot be sold and cannot be used for other purpose but only for the purpose as to why it was donated. The offer of Robinson’s Mall although how irresistible and advantageous for Zamcelco and Zamboanga City, must also possess clean documents to protect the interest of  Zamcelco and the surviving family members of the donor. This is the real meaning of “two birds with one stone” as announced during a briefing on the proposed sale offer with city officials.

If the donation documents do not provide for sale prohibition or similar prohibitions, then the ownership of the land by Zamcelco is absolute and can be sold anytime by Zamcelco and the City Government has no involvement on the sale but only on the aspect of taxation due the city government.

Many are in favor of the sale offer by Robinson Mall. Aside from the best offer price it also offers a free office lot outside the city to include the budget for the construction of the office building and the budget for the transfer of electrical facilities which entails a huge amount to a new location. Perhaps Zamcelco’s lawyers can by now research on those alleged donation documents to keep the offer going and no costly delays in the transaction. In business, time essence is very important.

The anonymous caller, I believe is my friend, since he knew my cellphone number known only by few close friends. But Table Talk appreciates his concern on the documents and he made it clear, he is not an obstruction to the sale offer, but only wants to protect the interest and rights of the transacting parties. Well noted and thank you for the information.
